Alliance for Immunology Innovations (AII) Membership Agreement and Terms and Conditions

This Membership Agreement and Terms and Conditions (“Agreement”) outlines the terms under which Alliance for Immunology Innovations (AII), operated by the European Society for Translational Medicine (EUSTM), provides membership and related services to its members, including researchers, clinicians, and other stakeholders. By joining AII and accessing its services, members agree to the following terms and conditions.

 

1. Definitions

  • Alliance for Immunology Innovations (AII): A consortium operated by the European Society for Translational Medicine (EUSTM) to promote collaboration, innovation, and commercialization in immunology.
  • Member: Any individual or organization approved for membership in AII, including researchers, clinicians, and other professionals.

2. Membership

 

2.1 Membership Eligibility

Membership is open to researchers, clinicians, and other stakeholders in immunology and related fields. The membership application must be completed truthfully and accurately. Any false information may result in termination of membership.

 

2.2 Membership and Sponsorships

  1. AII may charge membership fees (membership is complementary at the moment)
  2. AII seeks sponsorships from industry partners to cover its administrative costs. Members acknowledge that sponsorship revenue supports the alliance’s operations and sustainability.

 

3. Use of Submitted Information

 

3.1 Highlighting IP, Licensing, and Research Opportunities

 

  • Members agree that patents, licensing opportunities, and mutual research proposals submitted through AII’s forms or discussed during consortium activities may be highlighted and showcased to attract interest from the industry, medical, and research communities.
  • The purpose of this showcasing is to foster collaboration, explore commercialization opportunities, and promote innovation in immunology.

 

3.2 Non-Confidential Information Sharing

 

  • Members are responsible for ensuring that any information they submit as part of AII’s activities is non-confidential unless otherwise stated.
  • Non-confidential information may be publicly shared or promoted by AII to raise awareness and encourage industry engagement.
  • No confidential information should be submitted or discussed in Alliance nor Alliance will take any kind of liability or guarantee any confidentiality.

 

4. Privacy and Data Protection

AII is committed to protecting member data in compliance with General Data Protection Regulation (GDPR). Personal information will be used solely for consortium-related purposes, including communication, event participation, and fostering collaborations with other members and industry connections.

 

5. Intellectual Property (IP) and Confidentiality

 

5.1 Intellectual Property Rights

  • Intellectual property submitted by members remains the property of the submitting member(s).
  • AII will act as a facilitator to promote licensing and commercialization opportunities but does not claim ownership of any submitted IP.
  • Members acknowledge that sharing IP or related information through AII’s channels may result in it being reviewed by industry and academic partners.

 

6. Member Responsibilities

6.1 Ethical Conduct

Members must adhere to applicable laws, ethical standards, and AII’s code of conduct when participating in consortium activities.

 

6.2 No Copyright Infringement or Legal Claims

  • All interactions, meetings, and collaborations facilitated by AII must comply with intellectual property and copyright laws.
  • Members agree that no copyright or intellectual property infringement claims will be made against AII, EUSTM, or its staff arising from consortium activities.

 

7. Communication and Media

Members consent to receiving communication regarding consortium activities, research opportunities, and promotional content via email and other electronic channels. Photos and videos from consortium events may be used for promotional purposes, and members grant permission for such use.

 

8. Limitation of Liability

  • AII, EUSTM, and its staff are not liable for any loss, damage, or injury arising from participation in consortium activities.
  • All collaborations and interactions are voluntary and at the member’s discretion.

 

9. Termination of Membership

AII reserves the right to suspend or terminate membership at its discretion for reasons including unethical conduct, non-compliance with this Agreement, or failure to pay membership fees (if any).

 

10. Disputes

Any disputes arising from this Agreement will be resolved exclusively by mediation, by mediation service providers in Vienna, Austria.

 

11. Amendments and Modifications

AII reserves the right to modify these terms at any time. Members will be notified of significant changes. Continued membership implies acceptance of the updated terms.

 

12. Acceptance of Terms

By joining AII and accessing its services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
